Terms of Service

LAST UPDATED OCTOBER 14, 2026

These Terms of Service ("Terms") govern your use of sparkworks.co, sparkworks.ai and any page that links to these Terms (the "Site"), operated by KSPARK WORKS LLC, doing business as Sparkworks ("Sparkworks," "we," "us"), a Georgia limited liability company. By using the Site you agree to these Terms. If you use the Site on behalf of an organization, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use the Site.

1. The Site and our services

The Site describes Sparkworks and the consulting, software and AI services we offer. Using the Site, booking a consult or exchanging emails with us does not create a client relationship. Services are provided only under a separate written agreement, such as a master services agreement or statement of work, signed by both parties. If that agreement conflicts with these Terms, that agreement controls.

2. No professional advice

Content on the Site, including case studies, demos, articles and the "What we are paying attention to" section, is for general information only. It is not medical, clinical, regulatory, legal, financial or investment advice, and it is not a substitute for advice from a qualified professional about your situation. Case-study results are illustrative; figures may be approximate or drawn from tests on synthetic data, as noted on the Site, and past results do not guarantee future outcomes. References to ventures we build, operate or advise are not an offer to sell, or a solicitation of an offer to buy, any security.

3. Eligibility

The Site is intended for business professionals aged 18 or older. You may not use it if you are barred from doing so under applicable law.

4. Acceptable use

You agree not to:

  • use the Site in violation of any law or regulation, or to infringe anyone's rights;

  • probe, scan or test the vulnerability of the Site or breach its security or authentication measures, except as permitted under Section 5;

  • interfere with or disrupt the Site, including through denial-of-service attacks, malware or excessive automated requests;

  • scrape, crawl or harvest content or data from the Site by automated means, or use Site content to train, fine-tune or benchmark machine-learning models, without our written permission (standard search-engine indexing is permitted);

  • copy, frame or mirror the Site, or misrepresent your affiliation with Sparkworks;

  • submit protected health information, patient data or other sensitive personal information through the Site; or

  • submit anything unlawful, harmful, defamatory or that you do not have the right to share.

5. Reporting security issues

If you believe you have found a security vulnerability in the Site, please report it to info@sparkworks.co and give us reasonable time to fix it before disclosing it. Do not access, change or delete data that is not yours, degrade the Site, or use social engineering. We will not pursue legal action against good-faith research that follows this section.

6. Intellectual property

The Site and its content, including text, graphics, logos, interactive demos, code and design, are owned by Sparkworks or its licensors and protected by intellectual-property laws. "Sparkworks" and our logos are our trademarks. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and print or download pages for your internal business use. All other rights are reserved. Third-party names and trademarks shown on the Site, including technology platforms we build with, belong to their owners; their appearance does not mean they endorse us.

7. Feedback and submissions

If you send us ideas, suggestions or feedback about the Site or our services, you grant us a perpetual, royalty-free right to use them without obligation to you. Do not send confidential information through the Site or by unsolicited email; unless we have signed a confidentiality agreement with you, we cannot treat such material as confidential.

8. Third-party services and links

The Site links to third-party sites and services, including Google Calendar for booking. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

9. Privacy

Our Privacy Policy explains how we handle personal information collected through the Site and forms part of these Terms.

10. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPARKWORKS AND ITS MEMBERS, OFFICERS, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITS APPLY TO ANY THEORY OF LIABILITY AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW. THEY DO NOT APPLY TO SERVICES PROVIDED UNDER A SEPARATE WRITTEN AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS.

12. Indemnification

You agree to defend, indemnify and hold harmless Sparkworks and its members, officers, contractors and agents from claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or misuse of the Site.

13. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state courts located in Jackson County, Georgia, or the United States District Court for the Northern District of Georgia, and you consent to their personal jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice for at least 30 days. Either party may seek injunctive relief to protect its intellectual property or confidential information in any competent court. Nothing in this section deprives a consumer of protections that cannot be waived under the law of the country where they live.

14. Changes and termination

We may change the Site or these Terms at any time. We will post updated Terms on this page with a new "Last updated" date; your continued use of the Site after that date means you accept them. We may suspend or end your access to the Site at any time if we reasonably believe you have violated these Terms. Sections 6, 7 and 10 through 15 survive.

15. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Sparkworks about the Site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Headings are for convenience only.
